Terms of Service

1. Introduction & Acceptance of Terms
Welcome to WebSorted. These Terms of Service ("Terms") govern your access to and use of the website generation platform and services (the "Service") provided by WEBSORTED LIMITED, a registered New Zealand company (NZBN: 9429053502049) ("WebSorted", "we", "us", or "our").
By registering an account, purchasing a subscription, or using our Service, you represent and warrant that you are at least 18 years of age and possess the legal authority to bind your business or employer to these Terms. If we make material changes to these Terms, we will provide existing paying subscribers with at least 30 days’ notice prior to the changes taking effect. If you do not agree to the changes, you may cancel your subscription before your next billing cycle.
- B2B Service Acknowledgment: WebSorted is designed and offered strictly as a business tool. By using our Service, you represent that you are acquiring our services for the purposes of a business.
2. Description of Service & Intellectual Property
WebSorted provides an AI-powered SaaS website generator, hosted via secure enterprise cloud infrastructure with primary data centers located in New Zealand.
- WebSorted’s Intellectual Property: We own all rights, title, and interest in the WebSorted platform, including the underlying code, website templates, design layouts, and our proprietary AI prompting engine. You may not reverse engineer, scrape, copy, or attempt to export our code or templates to host on a third-party server.
- Your Content Ownership: You retain full ownership of any original data you input (such as your business name and specific operational details), your user-provided logos, and the final generated text copy.
- License to WebSorted: By inputting data, text, or uploading images to our platform, you grant WebSorted Limited a worldwide, royalty-free, non-exclusive license to host, copy, process, transmit, and display that content strictly for the purpose of providing, maintaining, and improving the Service.
3. AI Content Generation Liability
To provide rapid website creation, WebSorted utilizes third-party artificial intelligence (including Large Language Models) to generate copy and select relevant stock imagery.
- No Guarantee of Accuracy: We do not guarantee the factual accuracy, uniqueness, or appropriateness of the AI-generated output.
- User Review Obligation: You are strictly responsible for reviewing all generated text, selected imagery, and layout elements before publishing your website to the public. You must ensure the content accurately represents your business and does not infringe on any third-party copyrights or trademarks. WebSorted accepts no liability for claims arising from unreviewed or inaccurate AI-generated content.
4. Domain Registration, Management, and Transfer Policy
- Registration on Your Behalf: When you select a custom domain through WebSorted, we act as your authorized agent to register and manage that domain on your behalf via our third-party registrar partners.
- Legal Ownership: You are the legal owner (the "Registrant") of any custom domain registered through our platform. WebSorted makes no claim of ownership over your brand name or your chosen domain.
- Management and Control: While you remain the legal owner, WebSorted will be listed as the Technical and Billing contact. For the duration of your active subscription, WebSorted retains exclusive administrative control over the domain's DNS settings and routing to ensure your website functions correctly and remains secure.
- Sole Responsibility & Prohibited Activity: Because you are the legal Registrant, you bear sole responsibility for how the domain is used. You agree not to use the domain for illegal activities, phishing, malware distribution, spam, or hosting unauthorized copyrighted material. We reserve the right to immediately suspend routing to the domain upon receiving verified abuse complaints.
- Renewals: As long as your WebSorted subscription remains active and in good standing, we will automatically cover the cost of renewing your custom domain each year. If your subscription fails to renew or is cancelled, we are no longer obligated to pay for your domain renewal.
- The Exit Strategy (Domain Transfer): If you cancel your subscription, you may request that we release the domain to a registrar of your choice. To cover the manual labour required to unlock the domain, retrieve authorisation codes, and process the transfer, a one-time administrative release fee of $50 NZD applies. The domain will be unlocked and transferred once this fee is paid.
- Expiration upon Inaction: If you cancel your subscription and do not initiate a domain transfer request within 30 days of cancellation, WebSorted will remove the domain from our auto-renewal system. The domain will eventually expire and be released back to the public market.
5. Billing, Payments, and Subscription Terms
- Payment Processing: All payments are processed securely via Stripe. By subscribing, you agree to Stripe’s terms of service.
- Billing Cycle: Subscriptions are billed monthly on a recurring basis. We do not offer refunds for partial months of service.
- Pricing Changes: WebSorted reserves the right to modify our subscription pricing tiers. We will provide at least 30 days' written notice to existing subscribers before any price increase negatively impacts your recurring billing.
6. Cancellation, Suspension, and Data Retention
- User Cancellation: You may cancel your subscription at any time via your account dashboard or by contacting support@websorted.co.nz.
- Suspension for Non-Payment: If your monthly payment fails, we will attempt to retry the charge. We reserve the right to suspend your website hosting and take your website offline if payment is not successfully captured after a grace period of up to 14 days from the initial failure.
- Data Retention & Dormant Accounts: Following suspension or cancellation, WebSorted will maintain your base account profile so you can easily reactivate your subscription in the future. We may securely store your generated website data, copy, and uploaded images for an extended dormant period (typically up to 24 to 36 months). To comply with data minimization laws, if your account remains entirely inactive beyond this period, we reserve the right to queue your website data for permanent deletion from our active servers. You may request immediate deletion of your data at any time by contacting support.
- Termination by WebSorted: We reserve the right to suspend or terminate your account and access to the Service at any time, for any reason, and without prior notice. This includes, but is not limited to, instances of abusive behaviour towards our support staff, violation of these Terms, or any conduct we deem harmful to our platform, our infrastructure, or other users.
7. Third-Party Services
Your use of WebSorted relies on integrated third-party services, including AI providers, domain registrars, cloud hosting infrastructure, and payment processors (such as Stripe). You agree that your use of WebSorted will not violate the Acceptable Use Policies of these foundational partners.
8. User Conduct, Fair Usage & Uploaded Content
8.1 Indemnification
You agree to defend, indemnify, and hold harmless WebSorted Limited, its directors, employees, and third-party partners from any claims, damages, liabilities, and legal fees arising out of: (a) your use of the Service; (b) your breach of these Terms or violation of any applicable law; (c) any claim that your uploaded content (including logos and images) infringes upon the intellectual property rights of a third party; and (d) any disputes or legal claims made by the end-users or customers of the websites generated by WebSorted on your behalf.
8.2 Fair Usage Policy
WebSorted is designed to provide businesses with a streamlined website presence. To ensure the performance and availability of our platform for all customers, your use of the Service is subject to our Fair Usage Policy:
- Storage and Hosting Abuse: Our platform is a website builder, not a general-purpose file hosting or backup service. You may only upload images and files that are actively used on your WebSorted website. We reserve the right to delete unused files, restrict file sizes, or suspend accounts that use our infrastructure for excessive, non-website-related file storage.
- Endpoint and Generation Abuse: You may not use automated scripts, bots, scrapers, or programmatic methods to access our generation endpoints. The generation tool is for creating your specific business website; triggering excessive or rapid automated generations to harvest copy or stock imagery is strictly prohibited.
- System Limits: If your website traffic, storage size, or generation frequency significantly exceeds the average usage of standard WebSorted customers, we reserve the right to throttle your account, suspend your access, or require you to upgrade to a custom pricing tier. We will endeavour to notify you before taking such action, except in cases where your usage poses an immediate risk to our infrastructure.
9. Limitation of Liability & Consumer Guarantees Act
WARRANTY DISCLAIMER: THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WEBSORTED EXPLICITLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
- Statutory Exclusions (CGA & FTA): You acknowledge and agree that both parties are in trade, that you are acquiring WebSorted's services for the purposes of a business in trade, and that the provisions of the New Zealand Consumer Guarantees Act 1993 do not apply to this agreement. Furthermore, to the maximum extent permitted by Section 5D of the Fair Trading Act 1986, both parties agree to contract out of sections 9, 12A, 13, and 14(1) of that Act. Both parties acknowledge and agree that it is fair and reasonable to be bound by this exclusion.
- Liability Cap: In no event shall WebSorted’s total liability to you for all damages, losses, and causes of action exceed the total amount paid by you to WebSorted for the Service during the 12 months immediately preceding the event giving rise to the claim.
- Service Interruptions & Cyber Incidents: WebSorted will not be liable for any lost revenue, loss of profits, data loss, or loss of business opportunities you suffer resulting from: (a) cloud infrastructure outages or scheduled maintenance; (b) domain propagation delays; (c) AI generation errors; or (d) malicious cyberattacks, third-party data breaches, or unauthorized access to your account, provided we have maintained commercially reasonable security standards.
10. General Provisions
- Governing Law & Dispute Resolution: These Terms shall be governed by and construed in accordance with the laws of New Zealand. Before filing any formal legal claim, you agree to attempt to resolve the dispute informally by contacting us at support@websorted.co.nz. If the dispute is not resolved within 30 days of submission, both parties agree to participate in good-faith mediation before resorting to formal litigation. Any formal disputes shall be subject to the exclusive jurisdiction of the courts of New Zealand.
- Force Majeure: We will not be liable for any failure to perform our obligations caused by events beyond our reasonable control, including natural disasters, communication network failures, or third-party infrastructure outages.
- Entire Agreement: These Terms constitute the entire agreement between you and WebSorted regarding the Service, superseding any prior written or verbal agreements, marketing materials, or communications.
- Severability: If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.
- Survival: Provisions that, by their nature, should survive termination of these Terms shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
- Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. WebSorted may freely assign or transfer these Terms, in whole or in part, without restriction, including in the event of a merger, acquisition, or sale of assets.
- Legal Notices (CCLA): For the purposes of the New Zealand Contract and Commercial Law Act 2017, you agree that any notices, agreements, disclosures, or other communications that we send to you electronically (via the email address associated with your account) will satisfy any legal communication requirements, including that such communications be in writing.
